FieldSignal Terms of Service and End User Licence Agreement
TERMS v2026.1 · Effective 1 September 2026 · © 2026 Fieldsignal LLC
These Terms are a contract between you and Fieldsignal LLC, a Wyoming limited liability company ("FieldSignal", "we", "us"). They govern your use of the FieldSignal mobile application, the fieldsignal.com website, and everything we provide through them (together, the "Service").
By creating an account, installing the app, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it, and "you" means that organisation.
Please read section 12 (Field Check-In), section 14 (Templates and regulatory content), section 15 (AI-generated reports) and section 18 (Limitation of liability) carefully. They limit what the Service does and what we are responsible for.
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
1. Who may use FieldSignal
FieldSignal is a professional tool. You must be at least 18 years old and capable of forming a binding contract.
Individual plans — Professional and Founding Member subscriptions — are sold through the Apple App Store and Google Play and are available to individual professionals.
Team, Team Growth and Enterprise plans are sold by us directly and are available only to businesses, organisations, and individuals acting in the course of a trade, business, craft or profession. By purchasing a Team plan you represent that you are buying for business purposes and not as a consumer. We may ask for a business tax identifier or other evidence of business status, and we may decline or cancel an order where we are not satisfied of it. If you are a consumer and want to use FieldSignal, please subscribe through the App Store or Google Play.
You may not use the Service if you are located in a country subject to a US Government embargo, or if you appear on any US Government list of prohibited or restricted parties.
2. Your account
You are responsible for your account credentials and for what happens under your account. Use a strong password, do not share it, and tell us at security@fieldsignal.com as soon as you suspect unauthorised access.
Keep your account information accurate. We may suspend or close an account that contains false information.
3. Plans, trials and billing
3.1 Free tier
The free tier is provided as-is, with the limits published on our Pricing page. We may change those limits with reasonable notice.
3.2 Trial
A new installation includes a 14-day trial with full Team-level access. No payment card is required, and the trial does not convert into a paid subscription automatically — nothing is charged unless you choose to subscribe. One trial per person, however many times you install the app or on however many devices.
After day 14 the account reverts to the free tier, and new work is limited to the free plan's caps. The data you captured during the trial stays in the app. Team plans purchased directly from us have no trial; billing starts at checkout.
We may end or refuse a trial where we reasonably believe it is being taken more than once by the same person or organisation.
3.3 Individual plans — purchased through Apple or Google
Professional and Founding Member subscriptions are purchased through the App Store or Google Play.
- Apple or Google is the seller of your subscription, not FieldSignal. In the European Economic Area, the United Kingdom and Switzerland, Apple Distribution International Ltd. and Google Commerce Limited respectively contract with you directly.
- Billing, renewal, price changes, cancellation and refunds are handled by the store, under the store's terms and its refund policy. We cannot process a refund for a store purchase.
- To cancel, use the subscription settings in your Apple ID or Google Play account. Cancelling stops the next renewal; access continues to the end of the period you have paid for.
- Statutory rights you have as a consumer in respect of the purchase — including any right of withdrawal or cooling-off right — are exercised against the store as your seller, in the manner the store provides. Nothing in these Terms limits or excludes those rights.
We will tell you in the app before any change to what your plan includes.
3.4 Team plans — purchased directly from us
Team, Team Growth and Enterprise plans are billed by us through Stripe. FieldSignal is the seller of record for these plans.
- Seats and price. You pay per seat, per year, at the price shown at checkout, subject to the seat bands published on our Pricing page and to the minimum seat count for your plan. Adding seats mid-term is charged pro rata for the remainder of the term; seats removed mid-term take effect at renewal. If adding seats moves you into a band with a lower per-seat price, the lower price applies to every seat from the date of the change, and we credit the difference against your next invoice.
- Renewal. Subscriptions renew automatically for successive one-year terms at the then-current price, unless you cancel before the renewal date. We will email you at least 30 days before a renewal that carries a price increase.
- Cancellation. Cancel at any time from your account or by writing to info@fieldsignal.com. Cancellation takes effect at the end of the current period. We do not pro-rate refunds for a partial period, except as set out below.
- Refund. If you are not satisfied, write to info@fieldsignal.com within 14 days of your first purchase of a Team plan and we will refund it in full. This is a contractual commitment we give voluntarily; it is separate from, and does not replace, any statutory right you may have.
- Taxes. Prices exclude VAT, sales tax and equivalent taxes, which we add where we are required to. Where you are a business in a jurisdiction operating a reverse charge, supply us a valid tax identifier and we will invoice accordingly.
- Non-payment. If a payment fails, we will retry and notify you. We may suspend the account if it remains unpaid 14 days after we tell you.
3.5 Founding Member
The Founding Member offer is governed by the Founding Member Offer Terms, which prevail over this section 3 to the extent of any conflict.
3.6 Limits on AI report generation
Generating a report narrative uses a paid third-party AI service, so the number of reports you can generate is capped. The cap is currently 30 generated reports per user in a 24-hour period. The 24 hours begin when you generate your first report; once they are up, your full allowance is available again, and the next report you generate starts a fresh period. It applies on every plan that includes report generation, and it is a per-user limit rather than a per-team one — each member of a team has their own allowance. When you reach it, the app tells you the limit and when it resets. Everything else in FieldSignal continues to work.
We may change this limit. We will do so only where the cost or the terms of the underlying AI service change, where we need to protect the service against abuse or excessive load, or where actual usage shows the limit has been set at the wrong level. If we reduce the limit in a way that materially affects you, we will give you at least 30 days' notice by email and in the app before the change takes effect, and you may cancel rather than accept it — if you bought through the App Store or Google Play, Apple or Google handle the cancellation and any refund under their own terms; if you bought directly from us, we will refund the unused part of the term you have paid for. Increases take effect immediately and we will not trouble you with notice of them.
4. Your content
You own your content. Field notes, photographs, checklist responses, tracks, imported files, logos and reports you create through the Service remain yours. We claim no ownership of them.
The licence you give us. You grant FieldSignal a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and process your content solely to operate and provide the Service to you — including syncing it between your devices, sharing it with your team as your permissions direct, backing it up, and sending it to our sub-processors as described in the Privacy Policy. This licence ends when you delete the content or close your account, subject to backup cycles.
We do not use your content to train AI models, and we do not use it for advertising.
Your responsibility for your content. You confirm that you have the rights necessary to upload what you upload, and that doing so does not breach anyone's rights or any obligation you owe. This matters particularly for:
- Photographs of people. Field photographs may capture people, private property, or third-party equipment. You are responsible for having any consent or notice that the law where you work requires.
- Client files. Shapefiles, GeoPDFs, site plans and similar files may be confidential or licensed to you on terms that restrict where you may put them. Check before importing.
Export. You can export your data at any time from the app, in the formats we support — and, if you close your account, during the 60-day grace period described in section 20.
5. Teams and account owners
If you create a team, you are its account owner. If you join a team, the account owner administers it.
You should understand what that means:
- The account owner can access, export and delete all field data in the team's projects, including data created by other members.
- The account owner assigns roles and permissions, which determine what each member can see and do.
- The account owner can remove a member. When a member is removed, field data that member created stays with the team; the member's personal account and any data outside the team's projects are unaffected.
- If the team's subscription ends, the team reverts to the free tier and its limits. Data is not deleted immediately — see the Privacy Policy for retention — but access to paid features stops. Export what you need before the subscription ends.
As between the team and its members, the team is responsible for telling its members what it can see and for having a lawful basis to process their data. Where FieldSignal acts as a processor for a team, our Data Processing Addendum applies.
6. Acceptable use
Do not:
- break the law, or use the Service to help anyone else break it;
- upload malware, or try to gain unauthorised access to the Service, other accounts, or our infrastructure;
- reverse-engineer, decompile or disassemble the app, except to the extent that applicable law expressly permits it despite this restriction;
- resell, sublicense, rent or provide the Service to third parties as a service bureau, except as your plan expressly allows;
- scrape the Service, or use automated means to extract data other than through features we provide;
- interfere with the Service's operation, or place an unreasonable load on it;
- use the Service to track any person without a lawful basis for doing so;
- remove or obscure our trademarks or notices.
We may suspend or terminate access for a serious or repeated breach. Where circumstances allow, we will tell you first and give you a chance to put it right.
7. Availability
We aim to keep FieldSignal available, and it is built to work offline so that a network outage does not stop you working. But we do not promise uninterrupted availability, and we may take the Service down for maintenance. Where downtime is planned, we will give reasonable notice.
Enterprise customers may have a service level commitment in a separate agreement. In the absence of such an agreement, no service level applies.
8. Changes to the Service
We develop FieldSignal continuously. We may add, change or remove features. If we remove or materially reduce a feature you are paying for, we will give you at least 30 days' notice, and if the change disadvantages you materially you may cancel and be compensated for the unused part of your term.
How that compensation reaches you depends on who sold you the subscription. For a Team plan billed by us, we refund the unused part directly. For a subscription bought through the App Store or Google Play, we cannot process a refund ourselves — we will request one from the store on your behalf, and if the store declines, we will credit you an equivalent period of paid access.
9. Location data
FieldSignal uses your device's location to tag records, draw tracks, and — if you switch it on — share your live location with your team.
- Location access requires your permission, given through your device's operating system, and you can withdraw it at any time in your device settings.
- Live location sharing is off by default. It only runs while you switch it on, and you can stop it at any time in the app.
- Withdrawing location permission will stop location-dependent features from working. Everything else continues to work.
10. Third-party services
The Service uses third-party providers, including map data providers, weather data providers, and the AI provider described in section 15. Their data may be inaccurate or unavailable, and we do not control them. Map data and imagery are provided under the licences of their respective providers, and you must comply with those licences when you use the maps.
Maps in your reports. Reports and other documents you generate with the Service may contain a map image. You may keep, circulate, embed and print those documents for your business purposes, including delivering them to your own clients — up to 5,000 copies of any one map image. You may resize a map image to fit your document, but you may not otherwise alter it, and the copyright credit and any provider permission notice shown with it must be kept intact — not removed, cropped, obscured or altered. You may not place a map image in a product or user interface of your own, extract it as map data, redistribute it as a standalone map or dataset, or use it to build, improve or train any mapping product, dataset or machine-learning model.
Links from the Service to third-party sites are provided for convenience. We are not responsible for them.
11. Offline use and sync
FieldSignal is offline-first: you can capture data without a connection, and it syncs when a connection returns.
Sync is not a backup, and it is not instantaneous. Data captured offline exists only on your device until it syncs. If your device is lost, damaged or reset before a sync completes, that data may be unrecoverable. Sync as soon as you have a connection, and do not rely on the app as the sole copy of anything critical.
12. Field Check-In
Field Check-In is a communication tool. It is not an emergency, safety, SOS, distress-signalling, lone-worker-monitoring or life-safety feature, and it must not be used or relied on as one.
Read and understand the following before you use it:
- Activation. Field Check-In only operates when you have switched it on and granted the permissions it needs. A check-in reaches no one until your device has a working network connection. It does not run in the background without your having enabled it.
- What it does. It sends a message you compose, together with your location at that moment, to recipients you choose within your team, through ordinary internet messaging and push notification infrastructure. A check-in always includes your location and cannot be sent without it — that is the point of it. Sending it is an action you take; nothing is sent on your behalf.
- What it does not do. It does not contact emergency services. It does not monitor you. It does not detect that you are in difficulty. It does not alert anyone if you fail to check in. No one at FieldSignal sees or acts on your check-ins.
- Delivery is not guaranteed. Messages depend on your device, your battery, your network coverage, your recipients' devices and settings, and third-party push notification services operated by Apple and Google. Any of these can fail, delay a message, or deliver it out of order — and this is more likely in exactly the remote locations where field work happens. We do not guarantee that any check-in will be delivered, delivered promptly, or delivered at all, and, to the fullest extent the law allows, we are not liable for any consequence of a message that is delayed, undelivered, or not acted upon.
- Check-ins made without a connection. If you make a check-in while your device has no connection, it is saved on your device and sent automatically once a connection returns. It may reach your recipients, and any notification about it may reach their phones, minutes or hours after you made it. The location it carries is where you were when you made it, not where you are when it arrives. Do not rely on a delayed check-in to tell anyone where you are now. If it matters that someone knows promptly, contact them another way. Where the app shows whether a notification reached a recipient's phone, that reflects what the notification services report; it does not confirm that your recipient saw or read it.
- Do not substitute it for a safety system. If your work requires a lone-worker, man-down or emergency communication capability, use equipment and procedures designed and certified for that purpose, and follow your employer's written safety programme. Field Check-In is not a substitute for a satellite communicator, a personal locator beacon, a radio, or a call to emergency services.
If you do not accept these limitations, do not use Field Check-In.
13. Notifications
Push notifications, including notification priority tiers, depend on Apple's and Google's notification services and on your device settings. We do not guarantee delivery or timing. Do not rely on a notification to tell you about anything time-critical.
14. Templates and regulatory content
FieldSignal provides checklist and inspection templates, some of which refer to regulations, standards and published guidance.
These templates are field data collection aids. They are not legal, safety, engineering or professional advice, and completing one does not by itself establish compliance with any law, regulation, standard or permit.
- Templates are based on the sources cited in each template, most commonly United States federal regulations. Requirements differ by state, locality and country, and they change. Verify the requirements that actually apply to your site and your jurisdiction.
- Templates do not replace official agency forms, permits, your employer's written programmes and procedures, required training, competent- or qualified-person requirements, equipment manufacturers' instructions, or the judgment of a qualified professional.
- Where a template covers safety-critical work, it supports but does not replace your employer's written programme, permit and rescue procedures. If conditions are unsafe or unclear, stop work.
The warranty disclaimer in section 17 and the limitation of liability in section 18 apply to template content and to the regulatory citations within it, as much as to the software itself.
15. AI-generated reports
Reports are generated by sending the field data you select to a third-party AI provider, as described in the Privacy Policy.
AI output can be inaccurate, incomplete, or misleading, and can state things confidently that are wrong. A generated report is a draft. You are responsible for reviewing and correcting any report before you rely on it, sign it, submit it, or send it to a client or a regulator. We give no warranty as to the accuracy, completeness or fitness for purpose of generated content.
You own the reports you generate, subject to the third-party provider's terms. We do not claim rights in them.
16. Intellectual property
FieldSignal, the FieldSignal logo, and "Data Where It Happens" are trademarks of Fieldsignal LLC. FieldSignal™ is the subject of pending United States trademark applications. All rights in the Service, other than your content, belong to us or our licensors.
Licence to you. Subject to these Terms and to payment of any fees due, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, and to use the Service, for your own business or professional purposes. That is the only licence granted; we reserve all other rights.
Feedback. If you send us suggestions, we may use them without obligation to you.
Copyright complaints. If you believe material on the Service infringes your copyright, write to copyright@fieldsignal.com or to our designated agent at Fieldsignal LLC, 30 N Gould St, Ste N, Sheridan, WY 82801, United States, with: your signature (electronic is fine); identification of the work you say is infringed; identification of the material you say infringes it, and where to find it; your contact details; a statement that you believe in good faith that the use is not authorised; and a statement, made under penalty of perjury, that your notice is accurate and that you are the owner or authorised to act for the owner.
We will remove or disable access to material on a valid notice, and tell the user who posted it, who may send us a counter-notice under 17 U.S.C. § 512(g). We terminate the accounts of repeat infringers. Please note that a knowing material misrepresentation in a notice or counter-notice carries liability for damages under 17 U.S.C. § 512(f).
17. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all warranties, whether express, implied or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from a course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free or secure; that defects will be corrected; that data will not be lost; or that any content, template, map, weather figure or generated report is accurate, current or fit for any particular purpose.
If you are a consumer, this section does not exclude or limit any warranty or right that the law of your country gives you and does not allow to be excluded.
18. Limitation of liability
To the fullest extent permitted by law:
(a) Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, loss of goodwill, or the cost of substitute services, whether or not it was told such losses were possible.
(b) Our total aggregate liability arising out of or relating to the Service and these Terms, on any basis, is limited to the greater of (i) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, and (ii) US$100.
(c) We are not liable for loss of, or inability to access, data that had not synced from your device; for the delay, failure or non-delivery of any Field Check-In message or notification; for decisions made in reliance on a generated report, a template, a regulatory citation, or map or weather data; or for the acts or omissions of a team's account owner.
(d) The cap in (b) does not apply to our liability for a breach of our data protection obligations to you under the Privacy Policy or any Data Processing Addendum, or to either party's liability for a breach of confidentiality obligations. Our liability for those matters is limited instead to the greater of US$50,000 and the amount you paid us in the 12 months before the event.
(e) Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that the law does not permit to be excluded or limited. If you are a consumer, your statutory rights are unaffected, and where the law of your country of residence gives you rights that these Terms would otherwise restrict, that law prevails. Nothing in these Terms limits our liability to an end user beyond what applicable law permits.
These allocations of risk are a fundamental basis of the bargain between us, and the prices we charge reflect them.
19. Indemnity
If you are a business, you will indemnify and hold harmless Fieldsignal LLC and its member, officers and agents against any claim, liability, loss and reasonable legal cost arising from: your content; your use of the Service in breach of these Terms or of law; your failure to obtain a consent or permission you were required to obtain; or a dispute between you and a member of your team.
We will tell you promptly of any claim, let you control the defence of it (with our reasonable cooperation, at your expense), and not settle it without your consent, which you will not unreasonably withhold. This section does not apply to consumers.
20. Suspension and termination
You may stop using the Service and delete your account at any time, from Settings in the app.
We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, if your account is used in a way that threatens the Service or other users, or if your subscription goes unpaid. Except where the breach is serious or urgent, or where the law requires immediate action, we will give you notice and a reasonable opportunity to remedy.
On termination, your licence to use the Service ends, and we will handle your data as described in section 8 of the Privacy Policy. If you close your account, you can restore it during the 60-day grace period described there, and export your data then. Once that grace period ends we begin deleting, and your data cannot be recovered afterwards.
The following survive termination: section 3 (as to fees that accrued before termination), section 4 (as to the licence in respect of content you have already provided, for as long as we retain that content under the Privacy Policy), and sections 16, 17, 18, 19, 21, 22 and Schedule A.
21. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute, and you and we consent to their jurisdiction.
If you are a consumer, this section does not deprive you of the protection of the mandatory law of the country where you live, and does not deprive you of the right to bring proceedings in the courts of that country. If you are a consumer in the European Economic Area or the United Kingdom, you may bring proceedings in the courts of your country of residence, and the mandatory consumer protection law of that country applies to the extent it gives you rights these Terms would otherwise restrict.
Before filing anything, please write to info@fieldsignal.com. Most problems can be resolved quickly, and we will engage with you in good faith for 30 days.
22. General
Entire agreement. These Terms, the Privacy Policy, the Founding Member Offer Terms where applicable, and any Data Processing Addendum or Enterprise agreement, are the entire agreement between us about the Service, and replace any earlier understanding.
Changes. We may change these Terms. For a material change we will give at least 30 days' notice in the app or by email, update the version number and effective date above, and — where the law requires it — ask you to accept the new version. If you do not accept a material change, you may cancel; for a paid plan, we will refund the unused part of your term. Continued use after the effective date means you accept the change.
Order of precedence. If a signed Enterprise agreement conflicts with these Terms, that agreement prevails. Otherwise, in the event of conflict, the order is: signed agreement; Data Processing Addendum; Schedule A (for an app obtained from the Apple App Store); Founding Member Offer Terms; these Terms; Privacy Policy — except that the Privacy Policy prevails over these Terms on any question concerning the processing of personal information.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.
Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the rest remains in force.
No waiver. A failure to enforce a provision is not a waiver of it.
Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control. This does not excuse an obligation to pay.
Notices. We will send notices to the email address on your account; keep it current. Send notices to us at info@fieldsignal.com and, where a notice must be given in writing, to Fieldsignal LLC, 30 N Gould St, Ste N, Sheridan, WY 82801, United States.
Language. These Terms are published in English, and the English text governs. We offer our app in Spanish, French, Brazilian Portuguese and German, and we are working to publish these Terms and our Privacy Policy in those languages too. Until we do, if anything in these Terms or in our Privacy Policy is unclear to you, write to info@fieldsignal.com in Spanish, French, Portuguese or German and we will answer you in that language. Where the mandatory law of your country requires these Terms, or any part of them, to be provided to you in your own language, that law prevails.
Schedule A — Additional terms for the Apple App Store
This Schedule applies when you obtain the app from the Apple App Store, and prevails over the main Terms to the extent of any conflict in respect of that app.
- These Terms are between you and Fieldsignal LLC only, not with Apple. Apple is not responsible for the app or its content.
- The licence granted in section 16 is limited to a non-transferable licence to use the app on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to furnish any maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation in respect of the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are our responsibility.
- We, not Apple, are responsible for addressing your claims relating to the app or your possession and use of it, including product liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation. Nothing in these Terms limits our liability to you beyond what applicable law permits.
- We, not Apple, are responsible for investigating, defending, settling and discharging any third-party claim that the app or your use of it infringes that party's intellectual property rights.
- You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, on your acceptance, will have the right to enforce them against you.
- You must comply with applicable third-party terms of agreement when using the app — including, for example, your wireless data service agreement.
- Direct any question, complaint or claim about the app to us, at: Fieldsignal LLC, 30 N Gould St, Ste N, Sheridan, WY 82801, United States · telephone +1 307 554 9477 · info@fieldsignal.com.
